Gallagher & Kennedy Facilitates Successful Merger Between Sprouts and Sunflower Farmers Markets

PHOENIX (May 29, 2012) - Gallagher & Kennedy, P.A. closed a deal today that will unite Sprouts and Sunflower Farmers Markets under the majority ownership and sponsorship of Apollo Management, LP. The full service business law firm provided legal assistance to facilitate the merger between the two independent natural food stores. "Sunflower first engaged Gallagher & Kennedy in mid-2010 to handle a matter that had been giving us fits for an entire year. The level of service provided by G&K was top notch. When the merger transaction came through the door, the first call I made was to G&K to see if they could help us out," said Fran Windsor, Sunflower Vice President and General Counsel. "Thanks in large part to the efforts of so many people at G&K, we closed our merger with Sprouts." The combined company will have 142 stores and approximately 10,000 employees with 13 additional stores slated to open this year. The merger will make Sprouts one of the largest grocery retailers specializing in fresh and natural foods in the region, and will expand the company's footprint into Nevada, Utah, New Mexico and Oklahoma. Together, the company will be a prominent player in the Western United States retail food industry, with projected 2012 annual revenues approaching $2 billion.
